Terms of Service

1. Acceptance of Terms

By creating an account or using Mainstay ("the Service"), you agree to these Terms of Service. If you are accessing the Service on behalf of a Business Improvement Area or similar organization, you represent that you have the authority to bind that organization.

2. The Service

Mainstay is a software platform designed to help Business Improvement Areas and similar place-management organizations manage their operations, governance, members, and communications. We provide tools for meeting management, document storage, member directories, project tracking, and AI-assisted drafting.

3. Accounts & Access

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • Access to workspaces is controlled by your organization's coordinator or administrator.
  • The first account created on a new Mainstay instance becomes the platform founder (super admin).

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any local, provincial, or federal law.
  • Upload content that is defamatory, harassing, or infringes on intellectual property rights.
  • Attempt to gain unauthorized access to other users' data or to systems beyond your authorized workspace.
  • Use the AI features to generate content that could harm individuals or organizations.
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.

5. AI-Generated Content

Mainstay uses artificial intelligence to assist with drafting governance documents, normalizing meeting notes, and answering questions from your uploaded documents. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and approving all AI-generated content before it is used in official capacity. The Service will not make decisions on your behalf.

6. Your Data

You retain ownership of all documents, meeting notes, member information, and other content you upload to the Service. We process and store your data solely to provide the Service to you. You may export or delete your data at any time. See our Privacy Policy for details.

7. Subscriptions & Billing

Paid plans are billed on a monthly or annual basis. All plans include a 30-day free trial. You may cancel at any time. Refunds are issued at our discretion for unused portions of annual subscriptions. Pricing is subject to change with 30 days' notice.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for downtime caused by factors beyond our control, including third-party service providers, network issues, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, Mainstay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

10. Termination

You may terminate your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your data will be retained for 30 days, after which it will be permanently deleted.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or in-app notice at least 30 days before they take effect.
